Terms of Service

These Terms of Service (the "Terms") are an agreement between you and Function Desk LLC, a Florida limited liability company ("Function Desk," "we," "us," or "our"). They govern your use of the website at functiondesk.com, including its subdomains such as docs.functiondesk.com and console.functiondesk.com (together, the "Site").

Each section below begins with a short plain-language summary marked "In short." The summaries are there to make the Terms easier to read. They are not part of the agreement; the full text of each section controls.

Please note: Section 10 contains an arbitration agreement and a class action waiver. It affects how disputes between you and Function Desk are resolved. Please read it.

1. Agreeing to these Terms

In short: using the site means you accept these Terms. If you don't accept them, don't use the site.

By accessing or using the Site, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes it.

2. What the Site is

In short: this site is information about our company. Client work happens under separate written agreements, which control if anything conflicts.

The Site describes Function Desk and provides company information, legal documents, and a sign-in point for our client console. The Site is not itself a product, and nothing on it is an offer capable of acceptance, professional advice, or a warranty about services we may provide.

We provide software development and related services to clients under separately executed written agreements. If you and Function Desk have such an agreement, it governs those services, and it controls over these Terms wherever the two conflict.

3. Using the Site responsibly

In short: don't break the law, don't break the site, and don't try to get into things that aren't yours.

You agree that you will not:

(a) use the Site in violation of any applicable law or regulation;

(b) probe, scan, or test the vulnerability of the Site, bypass or attempt to bypass any authentication or security measure, or access data or accounts you are not authorized to access;

(c) interfere with the operation of the Site, including by imposing an unreasonable load on our infrastructure, introducing malicious code, or disrupting other users;

(d) scrape, harvest, or collect data from the Site by automated means at a volume or frequency a reasonable person would consider abusive, or republish Site content as your own;

(e) misrepresent your identity or affiliation, or impersonate Function Desk or any person; or

(f) use the Site to develop, train, or improve a product or service that competes with Function Desk, where doing so relies on access beyond what we make generally public.

We may investigate suspected violations and may restrict, suspend, or terminate access to the Site for conduct that violates this section.

4. Console access

In short: console accounts are created by us, by invitation. Keep your credentials secret, and tell us immediately if they leak.

Access to the client console is provisioned by Function Desk, by invitation, for clients and their authorized individuals. You are responsible for keeping your credentials and second-factor devices confidential, for all activity under your account, and for notifying us promptly at support@functiondesk.com if you suspect unauthorized access. We may suspend or revoke console access at any time to protect the Site, our clients, or our services, and access ends when the underlying client relationship ends.

5. Our content and trademarks

In short: the site's content and our brand belong to us. You can view and share links to it; you can't copy it as your own or use our marks without permission.

The Site and its contents — including text, design, graphics, logos, animations, and code — are owned by Function Desk or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to access and view the Site for your own informational purposes. "Function Desk," the FD mark, and related names and logos are trademarks of Function Desk LLC; you may not use them without our prior written consent, except to refer to us accurately.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

In short: links to other sites are provided for convenience. We don't control them and aren't responsible for them.

The Site may link to third-party websites or services. We do not control them, do not endorse them, and are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.

7. Privacy

In short: our Privacy Policy and Cookie Policy explain what we collect and why. Analytics only runs if you accept it.

Our collection and use of personal data in connection with the Site are described in the Privacy Policy and the Cookie Policy, which are incorporated into these Terms by reference.

8. Disclaimers

In short: the site is provided as-is. We work to keep it accurate and available, but we can't promise it always will be.

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ITS CONTENT IS COMPLETE OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Limitation of liability

In short: for a free informational site, our legal exposure is capped at $100, and we're not liable for indirect losses — except where the law doesn't allow such limits.

TO THE FULLEST EXTENT PERMITTED BY LAW: (a) FUNCTION DESK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY; AND (b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or for willful misconduct. You agree to indemnify Function Desk against third-party claims, and associated reasonable costs, arising from your violation of Section 3 or your unlawful use of the Site.

10. Disputes; arbitration agreement; class action waiver

In short: if we can't resolve a dispute informally within 30 days, it goes to individual binding arbitration in Marion County, Florida — not to a court or a class action. Small-claims cases are excepted, and you can opt out of arbitration within 30 days of first accepting these Terms.

Informal resolution first. Before filing a claim, you agree to email legal@functiondesk.com with a description of the dispute and give us thirty (30) days to work with you toward an informal resolution.

Arbitration. Except as provided below, any dispute arising out of or relating to the Site or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association under its applicable rules. The arbitration will be conducted by a single arbitrator, in English, seated in Marion County, Florida, though hearings may be conducted remotely where the rules allow. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this section.

Class action waiver. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.

Exceptions. Either party may (a) bring an individual claim in small-claims court, or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or prevent unauthorized access to the Site.

Opt-out. You may opt out of this arbitration agreement by emailing legal@functiondesk.com within thirty (30) days of the date you first accept these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other section of these Terms.

Severability of this section. If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court, and the remainder of this section stays in effect.

11. Governing law

In short: Florida law applies.

These Terms and any dispute arising out of them are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-laws principles. For matters properly before a court under Section 10, the state and federal courts located in Florida have exclusive jurisdiction, and each party consents to venue there.

12. Changes to these Terms

In short: when we update these Terms, we'll post the new version here with a new date. Continuing to use the site means you accept the update.

We may revise these Terms from time to time. The revised version will be posted on the Site with an updated "Last Updated" date, and material changes will be indicated in a reasonably prominent way. Your continued use of the Site after a revision takes effect constitutes acceptance of the revised Terms.

13. General

In short: standard housekeeping — if part of these Terms fails, the rest stands; not enforcing a term once doesn't waive it; this document is the whole agreement about the site.

If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the documents they incorporate, are the entire agreement between you and Function Desk regarding the Site, and supersede prior communications about it. Section headings and the "In short" summaries are for convenience only.
